for Board of Directors of Delta Dental of Missouri

Delta Dental of Missouri did not receive any nominations for directors by written petition for its 2017 election of directors. Therefore, its Board of Directors’ recommended slate of director nominees ran uncontested. As previously communicated in our Notice to Members of Annual Meeting to be Held November 3, 2017, and Election of Directors sent on September 5, 2017, in the event that there are no nominees by petition submitted by the Deadline for Member Nominations on September 27, 2017, and the election is therefore uncontested, the Board of Directors of Delta Dental of Missouri will conduct the election by an in-person vote at the Annual Meeting on November 3, 2017, instead of by the written ballot process outlined in the notice in order to reduce costs due to the uncontested nature of the election. As stated in the notice, the Governance and Nominating Committee nominated and the Board of Directors approved two public representative directors from Missouri and three dentist-member directors from Missouri on the director slate for the 2017 election.

The results of the 2017 election of directors to the Board of Directors of Delta Dental of Missouri were announced immediately following the in-person vote at the Annual Meeting on November 3, 2017. The following incumbent director candidates were re-elected for three-year terms, effective November 3, 2017.
